1. Licensed work

The following deliverables are covered by this agreement (the "Licensed Work"):

Upon receipt of payment in full, the rights granted and assigned under Section 3 apply to the approved logo design. Permitted use includes the following:

3. Ownership, assignment & portfolio rights

1. Transfer of rights upon payment. Upon receipt of payment in full, the Licensor grants the Licensee the rights described in this Agreement for the approved logo design. The scope of ownership, usage rights, and any retained rights are governed by the terms outlined herein.
2. Assignment of logo rights. Upon full payment of the logo design fee, the Licensor assigns to the Licensee all right, title, and interest in and to the final approved logo design, including associated intellectual property rights, except for any pre-existing materials, concepts, tools, or assets not specifically created for the Licensee.
3. Portfolio rights. Notwithstanding the transfer of ownership, the Licensor retains the right to display the final logo and identify the Licensee in the Licensor's portfolio, website, social media, and other promotional materials, unless otherwise agreed in writing.

4. Payment & delivery

Payment confirmation. The Licensee has paid the logo design fee in full under Stripe Invoice #KSUSPO8P-0002, which has been marked Paid. This payment covers the creation and delivery of the logo design. The paid invoice is provided as Exhibit A and incorporated into this Agreement by reference.

2. Rights under this Agreement take effect upon receipt of payment in full, as confirmed above.
3. Revisions are limited to the number included in the selected package unless additional revision fees are agreed in writing.
4. Rush delivery ($50–$150), extra revisions ($15–$40 each), mockups ($20–$75), print-ready formatting ($30–$75), and source files ($25–$100) may be billed as add-ons per the Brandon Fonville Creative Studio rate sheet.

5. Client ownership & retained designer rights

1. Upon full payment, the Licensee owns the final approved logo design as described in Section 3. All assignment rights transfer to the Licensee upon payment, except for the rights expressly reserved by the Licensor in this Agreement.
2. The Licensor does not claim any ownership interest in materials supplied by the Licensee for reference or context (including logos, photos, fonts, trademarks, or other brand assets provided by the Licensee).
3. The Licensor retains portfolio rights as described in Section 3 and retains working/editable source files unless the Licensee purchases source file delivery as a paid add-on.
4. The project fee for this logo has been paid in full. No further client action is required for rights transfer or delivery of the approved logo exports described in Section 1.

6. Warranty & liability

1. Licensor warrants that the Licensed Work is original to the extent described in the project scope and does not knowingly infringe third-party rights.
2. Licensed Work is provided for the stated business use. Licensor is not responsible for trademark clearance, legal compliance, or printing/production outcomes unless separately contracted.
3. Licensor's total liability is limited to the fees paid for the project giving rise to the claim, except where prohibited by law.

7. Termination

1. Either party may terminate for material breach if the breach is not cured within business days of written notice.
2. If terminated before completion, Licensee pays for work performed to date. No rights are assigned for unfinished deliverables.
3. Upon termination, Licensee must stop using any deliverables for which payment has not been received in full.

8. General

2. This agreement is the full understanding for the Licensed Work described herein and replaces prior verbal understandings on that subject.
3. Changes must be in writing and signed by both parties.
4. Electronic signatures and PDF copies are acceptable unless otherwise required by law.
