1. Due dates

1. Each invoice states an arranged due date. Payment is due in full on that date unless a written payment plan is signed by both parties, or unless the Client makes an earlier express payment commitment (for example, promising to pay the same day revised materials are sent).
2. An express verbal payment commitment by the Client is binding for timing purposes and may control over a later or incorrect date that appears on a Stripe invoice due to administrative error.
3. Partial payments reduce principal only. They do not extend the due date for the remaining balance.
4. “Remaining balance,” deposits, and milestone payments are invoice payment terms — not license transfer terms. Reviewing or signing a Design License / Transfer License Agreement does not satisfy an unpaid invoice.
5. Invoice #KSUSPO8P-0012: The Stripe field showing due date August 8, 2026 was a Studio clerical error. The Client committed on a phone call (spouse present) to pay the remaining balance the same day the revised agreement and invoice were sent. That commitment controls. As of July 14, 2026 the balance remains unpaid after that commitment and after a July 12, 2026 in-person acknowledgment that the revised agreement had not yet been reviewed.

2. Late fees (active now and going forward)

1. Any balance unpaid after the due date is overdue.
2. When an invoice becomes past due, a flat late fee of $25.00 is assessed on that invoice.
3. If any principal remains unpaid into a subsequent month after the flat fee is assessed, the unpaid principal also accrues 1.5% per month (18% annually), or the maximum permitted by North Carolina law, whichever is less, until paid in full.
4. Late fees are in addition to the principal amount owed.
5. Current application (Invoice #KSUSPO8P-0012): principal $110.00 + $25.00 flat late fee = $135.00 due now (see Statement BF-PD-2026-001). The $25.00 fee is based on the missed same-day payment commitment after delivery of the revised agreement and invoice — not on the incorrect August 8, 2026 Stripe due date. If still unpaid into the next month, add $110.00 × 1.5% = $1.65 more per month on the unpaid principal.

3. Work suspension & ownership retention

1. The Studio may suspend active or pending work if an invoice remains unpaid more than 7 days past due.
2. All deliverables, files, and work product remain Studio property until the related invoice is paid in full.
3. Client may not use, publish, reproduce, or distribute work product tied to an unpaid invoice.

4. Independence of documents

1. Invoice #KSUSPO8P-0012 is independent of Agreement #BF-2026-001 and Invoice #KSUSPO8P-0002.
2. Client delay in reviewing a revised license agreement does not pause, waive, or reschedule payment of a separate invoice.
3. Future Statements of Work, proposals, and invoices are likewise independent of any Design License or Transfer License Agreement unless a document expressly says otherwise in writing.
4. Client acknowledgment of a license agreement does not constitute payment, waiver, or satisfaction of any invoice.

5. Collections

1. If an overdue balance remains unpaid 30 days after a past-due statement, Client agrees to pay reasonable collection costs as allowed by law.
2. Governing law: State of North Carolina, United States.

6. Acknowledgment

By continuing the engagement or remitting payment under any Studio invoice on or after the effective date, Client acknowledges these payment and late-fee terms. Optional signature below confirms receipt.
